nyzhi Individual Contributor License Agreement

Version 1.0 — Effective February 2026

Thank you for your interest in contributing to nyzhi ("the Project"). This Contributor License Agreement ("Agreement") documents the rights granted by contributors to the Project. This is a legally binding document, so please read it carefully before agreeing to it.

1. Definitions

"You" (or "Your") means the individual who submits a Contribution to the Project.

"Contribution" means any original work of authorship, including any modifications or additions to an existing work, that is intentionally submitted by You to the Project for inclusion in, or documentation of, any of the products owned or managed by the Project.

"Submit" means any form of electronic, verbal, or written communication sent to the Project, including but not limited to pull requests, patches, issues, comments, and messages on mailing lists, forums, or any other communication channel managed by the Project.

"Project Maintainers" means the individuals or entities authorised to accept Contributions on behalf of the nyzhi project.

2. Grant of Copyright License

Subject to the terms and conditions of this Agreement, You hereby grant to the Project Maintainers and to recipients of software distributed by the Project a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions and such derivative works.

3. Grant of Patent License

Subject to the terms and conditions of this Agreement, You hereby grant to the Project Maintainers and to recipients of software distributed by the Project a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable (except as stated in this section) patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the Contribution, where such license applies only to those patent claims licensable by You that are necessarily infringed by Your Contribution alone or by combination of Your Contribution with the Project to which such Contribution was submitted.

If any entity institutes patent litigation against You or any other entity (including a cross-claim or counterclaim in a lawsuit) alleging that Your Contribution, or the Project to which You have contributed, constitutes direct or contributory patent infringement, then any patent licenses granted to that entity under this Agreement for that Contribution or Project shall terminate as of the date such litigation is filed.

4. Representations and Warranties

You represent that:

  • (a) You are legally entitled to grant the above licenses. If Your employer has rights to intellectual property that You create that includes Your Contributions, You represent that You have received permission to make Contributions on behalf of that employer, or that Your employer has waived such rights for Your Contributions to the Project.
  • (b) Each of Your Contributions is Your original creation. You represent that Your Contribution submissions include complete details of any third-party license or other restriction (including, but not limited to, related patents and trademarks) of which You are personally aware and which are associated with any part of Your Contributions.
  • (c) Your Contribution does not violate any applicable law or regulation and does not contain any malicious code, including but not limited to viruses, worms, or backdoors.
  • (d) You are not aware of any claims, suits, or actions pertaining to Your Contribution. You will notify the Project Maintainers promptly if You become aware of any such claims.

5. Support and Warranty Disclaimer

Unless required by applicable law or agreed to in writing, You provide Your Contributions on an "AS IS" basis, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or implied, including, without limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE. You are not expected to provide support for Your Contributions, except to the extent You desire to provide support.

6. Limitation of Liability

In no event and under no legal theory, whether in tort (including negligence), contract, or otherwise, unless required by applicable law (such as deliberate and grossly negligent acts), shall You be liable to the Project or any recipient of the software for any direct, indirect, special, incidental, or consequential damages of any character arising as a result of this Agreement or out of the use or inability to use the Contribution, including but not limited to damages for loss of goodwill, work stoppage, computer failure or malfunction, or any and all other commercial damages or losses.

7. Notification of Changes

You agree to notify the Project Maintainers of any facts or circumstances of which You become aware that would make Your representations in this Agreement inaccurate in any respect. Such notification shall be made by opening an issue or contacting the maintainers directly.

8. Moral Rights

To the fullest extent permitted under applicable law, You hereby waive, and agree not to assert, any of Your "moral rights" in or relating to Your Contributions for the benefit of the Project, its assigns, and their respective direct and indirect sublicensees.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the primary Project Maintainer resides, without regard to its conflict-of-law provisions. Any legal action or proceeding arising under this Agreement will be brought exclusively in the courts located in that jurisdiction, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

10. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter. No amendment to or modification of this Agreement will be binding unless in writing and signed by the Project Maintainers.

By signing below, You accept and agree to the terms and conditions of this Contributor License Agreement for Your present and future Contributions submitted to the nyzhi project.

Your signature is recorded electronically via GitHub OAuth. Your GitHub username, user ID, name, and primary email address are stored as proof of acceptance. You may request deletion of your CLA record by contacting the Project Maintainers.
